UNFILTERED Artist Agreement

This Artist Agreement is entered into between YUME Global Inc. and the undersigned artist or authorized representative of a group or act ("Artist"). It governs the Artist's submission of materials and participation in UNFILTERED.

The Artist represents and warrants that:

• The Artist has full authority to enter this Agreement.
• All submitted materials are original or lawfully controlled.
• No conflicting agreement prevents participation.
• All information provided to YUME is true, complete, and current.

The Artist further warrants that any co-writers, producers, featured performers, managers, labels, publishers, guardians, or other contributors whose consent is required have granted all permissions necessary for the submission and the rights granted herein.

The Artist shall timely provide all materials, metadata, approvals, and supporting documentation reasonably requested by YUME.

The Artist agrees to comply with production instructions, platform requirements, public-relations requests, and reasonable promotional obligations related to the competition.

The Artist grants YUME a non-exclusive, worldwide, sublicensable, royalty-free license during the Term to host, reproduce, excerpt, synchronize, distribute, publicly perform, publicly display, transmit, and otherwise use the submitted materials, Artist name, likeness, biography, and performance footage for competition administration, judging, marketing, promotion, sponsorship activation, distribution support, and related exploitation contemplated by the incorporated rights documents.

This Agreement does not transfer ownership of the underlying composition or master recording except where the parties later execute a separate written assignment or exclusive license.

To the extent permitted by applicable law, the Artist consents to editing, formatting, excerpting, dubbing, subtitling, and other adaptations reasonably necessary for competition, broadcast, promotional, or digital use, provided such use is not intentionally defamatory or materially deceptive as to authorship.

Unless separately agreed in writing, the Artist is not entitled to participation fees, royalties, or compensation beyond expressly awarded prizes, documented reimbursements, or separately negotiated commercial arrangements.

This Agreement begins upon execution or digital acceptance and continues through the competition cycle and any reasonable promotional tail period, with survival of rights, warranties, indemnities, dispute provisions, confidentiality, and tax obligations as applicable.

The Artist agrees to indemnify YUME and related parties against claims arising from rights breaches, inaccurate warranties, contractual conflicts, or unauthorized content.

YUME may suspend, reject, or remove the Artist or Artist materials where reasonably necessary to protect legal compliance, platform integrity, or competition operations.

This Agreement is governed by Nevada law, subject to mandatory law protections that cannot be waived. Dispute resolution shall follow the Arbitration Clause unless otherwise required by law.
